Business asset protection: records, contracts and debts
How to review ownership records, contracts and creditor demands when assessing lawful ways to protect business assets.
Map rights and obligations
- List property, equipment, funds, corporate interests and intellectual property. Record the owner, acquisition basis, user and encumbrances.
- Distinguish company assets from founder property, leased items and third-party assets. Use or payment of expenses does not necessarily prove ownership.
- Collect contracts, acceptance records, payments, registration documents and corporate decisions. Compare register data with supporting records and current restrictions.
Reduce contractual exposure
- Before signing, assess counterparty authority, subject matter, payment, acceptance, security, liability and termination.
- Transfers need appropriate form, approvals and evidence of performance. Advance payments, founder loans and capital contributions should be documented according to their actual nature.
- Identify who can approve changes, sign acceptance documents and receive notices. Written negotiation records help establish agreed terms.
Respond to existing debt or enforcement
- Obtain the creditor demand, contract, calculation, judgment and enforcement decisions. Check receipt dates and the current enforcement position.
- Compare debt objections, a realistic negotiated payment schedule and appropriate procedural remedies. Writing to a creditor does not suspend court or enforcement deadlines.
- Signs of insolvency require separate assessment of management duties and specialised procedures. This guide is not an insolvency analysis.
Lawful boundaries and the next step
- Sham sales, disguised transactions and concealment are not reliable legal protection. The Civil Code addresses good-faith conduct and invalid, fictitious and disguised transactions.
- Prepare a chronology, asset list, urgent dates and specific objective. Begin by assessing documents and lawful options; no immunity from lawful claims is promised.
- Related services cover contracts, property due diligence, enforcement review and written legal analysis.

This guide supports preparation for legal review. Transaction validity, challenge risks and remedies depend on actual rights, debts and records.
