Business financial transactions: what a lawyer reviews

Legal issues in financing, founder contributions, contracts and tax requests: preparing records and identifying the appropriate assistance.

Identify the actual transaction

  • A loan, capital contribution, goods advance and service payment have different legal bases. A payment description does not replace a contract, decision or performance evidence.
  • Identify the parties, currency, amount, dates, purpose, obligation and performance status. Cross-border elements require separate applicable-law and current currency-restriction review.
  • Activities that may constitute financial services need separate assessment under sector law, including provider status and authorisation requirements.

Separate legal review, bookkeeping and audit

  • An advocate assesses rights, obligations, authority, contractual terms, dispute risks and appropriate responses to an authority.
  • Accounting entries, returns and calculations require the responsible accounting specialist. A legal opinion neither verifies all financial statements nor replaces an audit.
  • Tax consequences depend on the actual transaction and records. The competent authority issues an individual tax consultation; an advocate may prepare the application.

Collect the necessary records

  • Provide the contract and amendments, corporate decisions and signatory authority documents.
  • Add payment records, acceptance documents, invoices and relevant accounting explanations. Identify outstanding obligations and security.
  • For a tax request or audit, include the full notice, proof of service, previous replies and requested-document list. Response deadlines depend on the specific procedure.

Agree the deliverable

  • An initial stage may provide a written legal assessment, missing-record list, contract amendments or an authority response.
  • Litigation, continuing support, financial modelling and investment decisions are separately scoped. Returns and tax outcomes are not guaranteed.
  • Related services address tax disputes, registration amendments, contracts and a separate legal analysis.
